TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of sam-labs.com (the "Site") operated by SAM Labs LLC ("SAM Labs," "we," "us"), and the process of requesting quotes or information about our scanning acoustic microscopy (CSAM), non-destructive testing, and project management consulting services. By using the Site, you agree to these Terms.

By accessing sam-labs.com or submitting a quote request, you agree to be bound by these Terms and our Privacy Policy. If you are acting on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Site.

SAM Labs provides scanning acoustic microscopy (CSAM), cross-sectioning, decapsulation, other non-destructive testing methods, and related project management consulting for industries including semiconductor and electronics manufacturing. Content on the Site describes these services generally; it is not an offer to perform specific testing and does not itself create a service engagement.

You may request a quote or information through our contact form, including by attaching drawings, specifications, or other files. Submitting a request does not obligate SAM Labs to accept a project. A service engagement is formed only once we confirm scope, pricing, and turnaround in writing (for example, by email or a signed work order), which will govern that engagement together with these Terms.

• Right to submit. You represent that you own or have the right to submit any sample, part, drawing, or specification you provide to us for testing.
• Ownership. You retain ownership of all samples and materials you submit. We do not acquire any ownership interest in them.
• Handling. We handle submitted samples with reasonable care appropriate to standard laboratory practice. Because some testing methods (including cross-sectioning and decapsulation) are inherently destructive, samples may be altered, consumed, or destroyed as part of performing the requested test — this is expected and is not treated as damage to your property.
• Retention & disposal. Unless your engagement specifies otherwise, we retain remaining samples for a reasonable period after delivering results and may dispose of them if not reclaimed within that period.

Test reports and results we deliver to you are licensed to you for your internal business use and for sharing with your own customers or partners as needed for your project. You retain all rights in your underlying designs, samples, and proprietary information.

SAM Labs retains all rights in its testing methods, techniques, equipment configurations, and report formats, as well as the Site itself and the SAM Labs name and logo. Nothing in these Terms transfers those rights to you.

When using the Site, you agree not to:

• Submit false or misleading information through our contact or quote forms;
• Attempt to gain unauthorized access to our systems or interfere with normal operation of the Site; or
• Use automated tools to scrape or extract content from the Site without our consent.

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Test results and reports reflect the samples, conditions, and instructions provided to us at the time of testing, and are provided for informational and engineering-support purposes. They do not constitute a guarantee of product performance, reliability, or fitness for any particular purpose, and any decisions you make based on our results remain your responsibility.

TO THE FULLEST EXTENT PERMITTED BY LAW, SAM LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE SITE OR OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE FEES YOU PAID FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM.

We treat samples, drawings, specifications, and test results you provide as confidential, and will not disclose them to third parties except as needed to perform the engagement, with your consent, or as required by law. See our Privacy Policy for further detail on how we handle this information.

You agree to defend and indemnify SAM Labs against claims, losses, and expenses arising from your breach of these Terms, or from samples or materials you submit infringing the rights of a third party, except where caused by our own violation of law.

We may suspend or restrict access to the Site for anyone who violates these Terms. Either party may end an ongoing service engagement as provided in the applicable work order. Sections that by their nature should survive termination — including Sections 4, 5, 8, and 9 — will continue to apply.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising from these Terms, the Site, or our services will be brought exclusively in the state or federal courts located in California, and you consent to the jurisdiction of those courts.

We may revise these Terms from time to time. If we make material changes, we will update the effective date above. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
